Terms of Service

1. Agreement to Terms

By accessing or using Internal Commerce ("the Platform"), operated by Spring Digital Commerce LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.

2. Description of Services

Internal Commerce provides AI-powered tools for direct-to-consumer e-commerce brands, including but not limited to:

• AI content generation (product descriptions, ad copy, email campaigns, social content)
• Competitor intelligence and market monitoring
• Cross-channel analytics dashboards
• Automated AI workflows and agent management

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Platform for any illegal purpose or in violation of any applicable laws
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use the Platform to generate misleading, harmful, or deceptive content
• Circumvent any access controls or usage limitations
• Resell, sublicense, or redistribute the Platform or its outputs without authorization
• Use the Platform to scrape, harvest, or collect competitor data beyond what is publicly available

5. AI-Generated Content

Content generated by the Platform is provided as a tool to assist your operations. You are solely responsible for reviewing, editing, and publishing any AI-generated content. We do not guarantee the accuracy, completeness, or suitability of generated content for any specific purpose.

You retain ownership of content generated using your data and brand inputs. We retain no proprietary rights to your generated content.

6. Third-Party Integrations

The Platform integrates with third-party services (Shopify, Meta, Google, TikTok, Klaviyo, etc.). Your use of these integrations is subject to the respective terms and policies of those third-party services. We are not responsible for the availability or functionality of third-party services.

7. Automated Actions

AI workflows may perform automated actions on your behalf (e.g., pausing ads, adjusting budgets, sending alerts). You are responsible for configuring these workflows and reviewing their actions. We recommend setting appropriate guardrails and monitoring workflow activity regularly.

8. Fees and Payment

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

9. Limitation of Liability

To the maximum extent permitted by law, Spring Digital Commerce LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Platform.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Platform ceases immediately. We will delete your data within 90 days of account termination, except where retention is required by law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
